1. Definitions

For the purposes of these Terms and Conditions:

• "Service" refers to the residential property consulting and placement services provided by Sanctuary Homes.
• "Client" or "You" refers to the individual or entity engaging our services.
• "We," "Us," or "Our" refers to Sanctuary Homes.
• "Agreement" refers to these Terms and Conditions together with any service-specific agreements.
• "Property Owner" refers to landlords or property owners with whom we facilitate connections.

2. Acceptance of Terms

By engaging our services, accessing our website, or communicating with Sanctuary Homes regarding residential services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

You must be at least 18 years of age to engage our services. By using our services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this Agreement.

3. Service Description

Sanctuary Homes provides professional residential property consulting services in Taiwan, including:

• Property search and identification based on client requirements
• Coordination of property viewings
• Lease negotiation assistance and representation
• Document review and explanation
• Administrative support throughout the leasing process
• Ongoing consultation during tenancy (as applicable to service level)

The specific services provided depend on the service level selected (Foundation, Refined, or Complete). Detailed service descriptions are available on our website and in service-specific agreements.

4. Service Fees and Payment

4.1 Fee Structure

Service fees are determined by the service level selected and are clearly communicated before engagement. Current fee schedules are available on our Solutions page. All fees are quoted in Taiwan Dollars (TWD).

4.2 Payment Terms

Payment is typically due as follows:

• Initial consultation fee (if applicable): Due upon scheduling
• Service engagement fee: Due upon signing service agreement
• Final payment: Due upon successful lease completion

4.3 Refund Policy

Refunds are considered on a case-by-case basis. Generally, fees paid for services already rendered are non-refundable. If you terminate the engagement before property identification, a partial refund may be available subject to work already completed. Specific refund terms are outlined in individual service agreements.

5. Client Responsibilities

As a client, you agree to:

• Provide accurate, complete, and timely information regarding your requirements, financial capacity, and relevant personal details
• Respond promptly to communications and requests for information
• Attend scheduled viewings or notify us of conflicts in advance
• Conduct yourself professionally during property viewings and interactions with property owners
• Review all documents carefully and ask questions about any unclear terms
• Make final decisions regarding property selection and lease terms
• Pay all fees according to agreed terms
• Honor commitments made to property owners through our facilitation

6. Our Obligations

Sanctuary Homes commits to:

• Provide professional services with reasonable skill and care
• Maintain confidentiality of your personal information
• Present property options that reasonably match stated requirements
• Provide honest assessments of properties and lease terms
• Conduct property verification before presentation
• Represent your interests in lease negotiations (as applicable to service level)
• Explain contractual terms clearly and address your questions
• Maintain professional standards and ethical conduct

7. Disclaimers

7.1 No Guarantees

While we strive to provide high-quality service, we do not guarantee that you will secure any specific property or that the process will proceed within any particular timeframe. Property availability, owner decisions, and market conditions are beyond our control.

7.2 Not Legal or Financial Advice

Our services include document review and explanation, but we are not providing legal or financial advice. We recommend consulting with qualified attorneys and financial advisors for matters requiring professional legal or financial counsel.

7.3 Property Information

While we verify property information to the best of our ability, we rely in part on information provided by property owners. We disclaim liability for inaccuracies in third-party provided information, though we will make reasonable efforts to verify claims.

7.4 Service Provided "As Is"

To the fullest extent permitted by law, our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied.

8. Limitation of Liability

To the maximum extent permitted by Taiwan law:

• Our total liability for any claims arising from our services shall not exceed the total fees paid by you for those services
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for losses resulting from property owner decisions, market conditions, or factors beyond our reasonable control
• We are not liable for your failure to read or understand lease terms despite our explanations

Nothing in these terms excludes or limits our liability for fraud, gross negligence, or matters that cannot be excluded or limited under Taiwan law.

9. Intellectual Property

All content on our website, marketing materials, and documentation, including text, graphics, logos, and software, is the property of Sanctuary Homes or our licensors and is protected by Taiwan and international intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without written permission. You may view and print our website content for personal, non-commercial use only.

10. Confidentiality

Both parties agree to maintain confidentiality of non-public information shared during the engagement. This includes your personal information, search criteria, and financial details, as well as our proprietary business methods and client lists.

Confidentiality obligations do not apply to information that is publicly available, required to be disclosed by law, or necessary to share with property owners for service delivery.

11. Termination

11.1 By Client

You may terminate the engagement at any time by providing written notice. Fees for services already rendered are non-refundable. If termination occurs before property identification, refunds may be considered as outlined in section 4.3.

11.2 By Sanctuary Homes

We may terminate the engagement if you breach these terms, provide false information, fail to make required payments, or if continuing the relationship would be unreasonable or impractical.

11.3 Effect of Termination

Upon termination, we will provide any work product completed to date. Confidentiality obligations survive termination. Outstanding fees remain due and payable.

12. Dispute Resolution

12.1 Governing Law

These Terms and Conditions are governed by the laws of Taiwan. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of Taiwan.

12.2 Informal Resolution

Before pursuing formal dispute resolution, both parties agree to attempt to resolve disputes through good faith negotiation. Please contact us at [email protected] to initiate this process.

12.3 Mediation

If informal resolution fails, both parties agree to consider mediation before litigation, using a mutually agreed mediator in Kaohsiung or Taipei.

13. General Provisions

13.1 Entire Agreement

These Terms and Conditions, together with any service-specific agreements and our Privacy Policy, constitute the entire agreement between you and Sanctuary Homes regarding our services.

13.2 Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it valid and enforceable. All other provisions remain in full force.

13.3 Waiver

Our failure to enforce any right or provision in these terms does not constitute a waiver of that right or provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may assign our rights and obligations to a successor entity in connection with a merger, acquisition, or sale of assets.

13.5 Notice

Notices under these terms must be in writing and sent to the addresses provided in service agreements or to our registered business address. Email notices to [email protected] are acceptable for most communications.

14. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify clients of material changes by posting updated terms on our website with a revised effective date. Your continued use of our services after changes become effective constitutes acceptance of the modified terms.

Changes to these terms do not apply retroactively to services already engaged before the effective date of changes.
